Governance

Governance & operating posture.

Interlayer Systems Ltd operates as a neutral, non-custodial interoperability actor. We define message-layer patterns and continuity approaches that can be adopted by multiple institutions without creating an additional commercial point of control.

Neutral posture Non-custodial by design Audit-aligned outputs

Governance is treated as an operational constraint, not a marketing statement: the translator role is scoped so that institutions can demonstrate control to their own oversight.

Operating intent

Our work is intended for regulated or public-interest environments where accountability, auditability and low signal emission are required.

Outputs are structured to be adoptable by counterparties working under different oversight regimes, including those that cannot centralise sensitive data or delegate core authority to external platforms.

Sovereign-neutral, non-custodial

Interoperability is delivered as message-layer logic, not as a hosted platform that accumulates data or authority. Data remains within originating institutions or their appointed processors, and systems of record stay where they already are.

Jurisdictional anchor

The current legal and operational anchor is the United Kingdom. A future Swiss alignment is on the roadmap to reinforce neutrality and cross-jurisdictional acceptability, particularly for institutions that require a clearly neutral reference point.

Signal discipline

Engagements are initiated on a case-by-case basis. We do not operate open public onboarding, and we do not broadcast counterparties. Public signalling is intentionally limited and time-bounded.

Assurance & audit

Interoperability outputs and accompanying guidance are designed to be audit-aligned, so institutions can demonstrate how message-level coordination was achieved under existing policies, control frameworks and change-management processes.

Data handling

Where operational data is exchanged with us for testing, validation or message-configuration work, it is handled within the narrowest scope required to perform the engagement. Retention, access and redaction are all shaped to fit institutional and regulatory expectations.

Remote-first operations

All work is conducted remotely. This reduces operational signal, allows cooperation across jurisdictions without co-location requirements, and keeps engagement overhead low for institutions.

Next step

Align a specific engagement with this posture.

If you need to test whether a proposed interoperability path can sit inside your governance, risk and compliance frameworks, you can initiate a quiet, scoped discussion.
